These Terms of Service ("Terms") govern the use of VoiceFirst, a software platform provided by Notetech Software ("Notetech", "we", "us", or "our"). By using VoiceFirst, you agree to these Terms. If you are using VoiceFirst for your company, you confirm that you are authorized to accept these Terms on its behalf.
VoiceFirst is a business operations and issue reporting platform. It lets your team report, track, escalate, and resolve operational issues using text, voice, photos, and video.
Please provide accurate account information, keep your login credentials confidential, and let us know promptly if you notice any unauthorized access. You are responsible for activity on your account, except where it results from unauthorized access caused by our failure to maintain reasonable security.
You are responsible for the accuracy and legality of the information your team submits through VoiceFirst, for managing who in your organization can access the service and with what permissions, and for using the service in compliance with applicable law.
Please use VoiceFirst lawfully. Do not attempt unauthorized access to accounts or systems, introduce harmful code, interfere with the service, submit unlawful or infringing material, or reverse engineer the platform except where the law permits.
Your company retains full ownership of everything it submits to VoiceFirst. You grant Notetech only the limited rights needed to host, process, and transmit your data in order to provide, secure, support, and improve the service. We do not acquire ownership of your data.
VoiceFirst — its software, design, features, documentation, trademarks, and underlying technology — is owned by or licensed to Notetech Software. Your subscription gives you the right to use the service; it does not transfer any intellectual property rights.
Paid features are provided under a subscription. Pricing, billing frequency, and any promotional terms are set out in your order, proposal, or agreement with us. Fees are exclusive of applicable taxes such as GST, which will be charged as required by law. Unless otherwise stated, fees are non-refundable except where required by law or agreed in writing.
We work to keep VoiceFirst reliable and available at all times, though availability may occasionally be affected by maintenance, upgrades, third-party services, or events beyond our reasonable control. We may improve, add, or change features from time to time.
Each of us agrees to protect the other's confidential information and use it only for purposes connected with our business relationship. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
How we handle personal information is described in our Privacy Policy, and our safeguards are described on our Security page. Where VoiceFirst processes personal data on your behalf, we act as your data processor under the Digital Personal Data Protection Act, 2023, and additional data protection terms are available where required.
We may suspend access where reasonably necessary — for example to address a security threat, unlawful use, non-payment, or a material violation of these Terms — and we will restore access once the issue is resolved wherever possible. You may terminate as per your subscription agreement. On termination, your data is handled as per your agreement and our Privacy Policy, and we will provide a reasonable opportunity to export it.
To the maximum extent permitted by law, VoiceFirst is provided on an "as available" basis. VoiceFirst is a reporting and management tool; your company remains responsible for the decisions and actions it takes based on information reported through the platform.
To the maximum extent permitted by applicable law, Notetech will not be liable for indirect, incidental, special, consequential, or punitive damages, and our total liability arising from the service is limited to the fees you paid for the relevant service during the applicable period. Nothing in these Terms excludes liability that cannot legally be excluded.
You agree to indemnify Notetech against claims arising from your unlawful use of VoiceFirst, your violation of these Terms or applicable law, or content submitted through your account.
We may update these Terms from time to time. If we make material changes, we will give you reasonable notice. Continued use of VoiceFirst after updated Terms take effect constitutes acceptance.
These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts at Kochi, Kerala, unless otherwise agreed in writing.
